make the following registry edits :

HKEY_CURRENT_USERControlPanelDesktop
Change "AutoEndTasks" key to 1
Make sure "HungAppTimeout" is set to 5000
Change "WaitToKillAppTimeout" to 4000

HKEY_LOCAL_MACHINESystemCurrentControlSetControl
Change "WaitToKillServiceTimeout" to 4000

I've also had experience with certain hard drives being slow at spinning down. This even goes back to the days of win NT. The shut down screen writes cached data, and also waits for the HD to turn off. I'm not sure, but for me, I let it be. Then when I got a new HD the problem just went away. Shouldn't be a biggie though. (ya, I know, the wait is kind of long)

it seems to be with certain HD+ATAPI IO chip combinations. The same "slow shutdown" disk connected to a PCI ATA100 card doesn't cause the problem. Maybe it's a different problem for you though. That's always a possibility.
