I think this nice trick provided by Subhuman should be found here:
An easier way to add APM back into a 'Standard PC' install: Device Manager, View, Show Hidden Devices.
Now, you should see NT Apm/Legacy Support as an item in your list, probably with a red x mark through it. Right click, and select Enable. That should be it, your computer can now shutdown properly.

ahgrhh! why this options don't work for me?! i check my friend's computers with xp instaled. everyone have NT Apm/Legacy Support with <FONT COLOR="red">X</FONT>!!!
only when i instal APM driver i can see NT Apm/Legacy Support but with <FONT SIZE="+4" COLOR="gold">!</FONT> on NT Apm/Legacy Interface Node
oooops! i bother again about that but can't help my self!

sorry! after all i was thinking that i'm the only one with this problem.
i do clean xp reinstal, but this time i set standard pc mode by pressing f7 in the begining of instalation. after instalation i just enable NT Apm/Legacy Support!
i think that i had problem because first time i instal xp in acpi mode, and after instalation do update to standard pc... or i do something else wrong... i don't know, but now is ok

Hm, did you make a custom startup graphic? That might cause it according to this (in italics at the bottom of the page)
